Appointment of Company Directors

With reference to the issues of concern regarding the appointment of directors of Bangchak Corporation Public Company Limited, which took effect on 18 April 2025, the Company would like to state that the change in the composition of the Board resulted from the resignation of three directors. The Board therefore resolved to appoint three new directors to fill the vacant positions, including a representative of the major shareholder and a representative of the Ministry of Finance.

All actions were carried out in accordance with applicable laws and prescribed procedures, including review and approval by the Nomination and Remuneration Committee, in line with normal corporate governance processes, to ensure that the Board can perform its duties effectively and in the best interests of the Company and its stakeholders.
